Contractors routinely face a number of liability threats as a cost of doing business. One that is occasionally overlooked is the threat of ?alter ego? liability. Are you the alter ego of your company? And what does that mean exactly? Under the law of most states, it means that you could be held personally liable for the debts or liabilities of your corporation or limited liability company if a plaintiff is able to satisfy certain legal requirements. Most likely, your intent in setting up a separate corporation or LLC was to avoid that kind of responsibility. It pays, therefore, to know a bit about the law of alter ego liability.

Under California law, alter ego liability will be imposed where two conditions are met: (1) there is such a unity of interest and ownership that the separateness of the individual (or another entity) and the business entity has ceased; and (2) recognizing the business entity as being separate from the individual (or other entity) would, under the particular circumstances, ?sanction a fraud or promote injustice.?

The meaning of the above standard is subject to considerable judicial interpretation and, as is often the case in litigation, the courts assess a variety of factors in deciding whether to impose liability on an alleged alter ego. The factors are numerous and the case law is not always consistent. Moreover, alter ego liability can be imposed where some of the factors, but not others, are present. Nonetheless, most alter ego cases have at their core an allegation that the defendant has failed to maintain proper separation between his or her personal affairs (or the affairs of another owned business entity) and those of the company being sued.

Here are a few simple guidelines for contractors and other business owners (including members of a California limited liability company) seeking to avoid the prospect of a personal judgment for the obligations of a corporation or LLC:

1. Observe all corporate formalities. Devote the necessary time and attention to this task. It will be well worth it in the long run.
2. Never commingle assets (or liabilities). Maintain separate bank accounts and keep them separate. Always avoid commingling the funds of separate corporations or LLC?s, and always keep personal and corporate funds separate from corporate funds. Never pay the debts of one using an account maintained by the other. (Contractors in California should also be aware of the potential civil and criminal penalties for diverting funds from one job to another?which is a topic for another update.)
3. Never use corporate funds to purchase services or items for personal use. Pay yourself first, then use your own personal funds for your purchases.
4. Never hold yourself out as being responsible for the debts or obligations of your company.
5. Have adequate capitalization for your intended operations and purchase adequate insurance.

NASA investigates proton radiation effects on cells

ScienceDaily (Aug. 4, 2012) ? A team of researchers at NASA's Johnson Space Center in Houston and Lawrence Berkeley National Laboratory in Berkeley, Calif., has found radiation from protons could further enhance a process that occurs during tumor progression. This information may help lead to better methods to protect astronauts from the harmful effects of radiation in space, as well as help cancer researchers on Earth better understand the effects of radiation treatment on the human body.

NASA is particularly interested in this research because protons, which are charged subatomic particles, are the main source of space radiation astronauts receive during spaceflights. The study was part of NASA's ongoing effort to learn how to mitigate the effects of radiation during long-duration missions to destinations beyond low Earth orbit, such as asteroids and Mars.

"Our paper makes new discoveries on the potential risks from low doses of protons that occur outside of the tumor during radiation therapy, and to all tissues for astronauts exposed to space radiation," said Francis A. Cucinotta, chief scientist for the Human Research Program Space Radiation Program Element at Johnson and one of the authors of the paper.

The objective of the researchers was to study the biological effects of low-energy protons on epithelial cells (membranous tissues found throughout the body) and the protons' propensity to enhance a process that occurs during tumor progression. This process is called epithelial-mesenchymal transition (EMT), which has been associated with cancer progression. EMT also has been linked to radiation-induced fibrosis, one of the most common late effects of radiotherapy.

Notably, the study revealed protons alone can induce EMT-associated changes in normal human epithelial cells. Although the total body dose received in space is moderately low compared to what is received in radiotherapy, this study reveals that low doses of protons still may prompt EMT and result in potentially detrimental effects.

These studies were conducted at Johnson and at the NASA Space Radiation Laboratory at Brookhaven National Laboratory, Upton, N.Y.

Results of the study were published as "Protons Sensitize Epithelial Cells to Mesenchymal Transition" in the July 23 issue of the journal PLoS ONE.

Vienna Girardi seems to have made a good call on at least one breakup. Earlier this year, her ex-boyfriend and "Bachelorette" star Kasey Kahl was busted on a drunken and disorderly conduct charge for getting into an altercation outside a Fresno, Calif., hot spot.

Now, the reality star is being charged with two counts of felony assault, one for felony battery and one for public intoxication, according to court documents obtained by E! News. And according to the Fresno Country District Attorney's Office, Kahl was under the influence of liquor, drugs and a controlled substance identified as toluene (a chemical often used in paint thinners) at the time of his Jan. 15 altercation.

If convicted on all four counts, the 28-year-old could spend up to eight years in state prison.

The couple involved in the scuffle, Renee Idsinga and boyfriend Richard Chaney, reportedly got into an argument with Kahl after he allegedly yelled insults their way. According to police at the time, Kahl struck Chaney several times in the face and head.

Google to expand its Finnish data center

HELSINKI (AP) ? Google Inc. says it will invest ?150 million ($177 million) to expand its data center in Finland.

In a statement Thursday, Google Finland says the data center will double in size as a result of the investment. It is situated in a former paper mill in the southeastern coastal town of Hamina and is one of the locations where the company keeps its servers.

The project will take 18 months to complete and the investment is estimated to add 25 jobs to the center's current staff of 90.

In 2009, Google bought the former mill owned by paper maker Stora Enso Oyj and turned it into a data center using seawater from the Baltic Sea for its cooling system. The center began its operations in September 2011.

Tropical climate in the Antarctic: Palm trees once thrived on today?s icy coasts 52 million years ago

ScienceDaily (Aug. 1, 2012) ? Given the predicted rise in global temperatures in the coming decades, climate scientists are particularly interested in warm periods that occurred in the geological past. Knowledge of past episodes of global warmth can be used to better understand the relationship between climate change, variations in atmospheric carbon dioxide and the reaction of Earth?s biosphere. An international team led by scientists from the Goethe University and the Biodiversity and Climate Research Centre in Frankfurt, Germany, has discovered an intense warming phase around 52 million years ago in drill cores obtained from the seafloor near Antarctica ? a region that is especially important in climate research.

The study published in the journal Nature shows that tropical vegetation, including palms and relatives of today?s tropical Baobab trees, was growing on the coast of Antarctica 52 million years ago. These results highlight the extreme contrast between modern and past climatic conditions on Antarctica and the extent of global warmth during periods of elevated atmospheric carbon dioxide levels.

Around 52 million years ago, the concentration of the greenhouse gas carbon dioxide (CO₂) in the atmosphere was more than twice as high as today. ?If the current CO₂ emissions continue unabated due to the burning of fossil fuels, CO₂ concentrations in the atmosphere, as they existed in the distant past, are likely to be achieved within a few hundred years?, explains Prof. J?rg Pross, a paleoclimatologist at the Goethe University and member of the Biodiversity and Climate Research Centre (BiK-F) in Frankfurt, Germany. ?By studying naturally occurring climate warming periods in the geological past, our knowledge of the mechanisms and processes in the climate system increases. This contributes enormously to improving our understanding of current human-induced global warming.?

Computer models indicate that future climate warming will be particularly pronounced in high-latitude regions, i.e., near the poles. Until now, however, it has been unclear how Antarctic terrestrial ecosystems responded in the geological past to a greenhouse climate with high atmospheric CO₂ concentrations.

The scientists working with Prof. Pross analysed rock samples from drill cores on the seabed, which were obtained off the coast of Wilkes Land, Antarctica, as part of the Integrated Ocean Drilling Program (IODP). The rock samples are between 53 and 46 million years old and contain fossil pollen and spores that are known to originate from the Antarctic coastal region. The researchers were thus able to reconstruct the local vegetation on Antarctica and, accordingly, interpret the presence of tropical and subtropical rainforests covering the coastal region 52 million years ago.

In an area where the Antarctic ice sheet borders the Southern Ocean today, frost-sensitive and warmth-loving plants such as palms and the ancestors of today?s baobab trees flourished 52 million years ago. The scientists? evaluations show that the winter temperatures on the Wilkes Land coast of Antarctica were warmer than 10 degrees Celsius at that time, despite three months of polar night. The continental interior, however, was noticeably cooler, with the climate supporting the growth of temperate rainforests characterized by southern beech and Araucaria trees of the type common in New Zealand today. Additional evidence of extremely mild temperatures was provided by analysis of organic compounds that were produced by soil bacteria populating the soils along the Antarctic coast.

These new findings from Antarctica also imply that the temperature difference between the low latitudes and high southern latitudes during the greenhouse phase 52 million years ago was significantly smaller than previously thought. ?The CO₂ content of the atmosphere as assumed for that time interval is not enough on its own to explain the almost tropical conditions in the Antarctic?, says Pross. ?Another important factor was the transfer of heat via warm ocean currents that reached Antarctica.? When the warm ocean current collapsed and the Antarctic coast came under the influence of cooler ocean currents, the tropical rainforests including palms and Baobab relatives also disappeared.
